Guidelines

SECTION 1: NAME AND MISSION

NAME
The name of this organization shall be "The Committee on Institutional Cooperation Association of Professional Staff Councils." Throughout this document, this organization shall be referred to as "CIC APSC."

CIC MISSION
The CIC is a consortium of twelve universities committed to advancing academic excellence by sharing resources and promoting and coordinating collaborative initiatives.

CIC APSC MISSION
The CIC APSC addresses challenges and works toward solutions for employees represented by the participating staff advisory/governing bodies of member universities. The CIC APSC exchanges information and examines issues in order to promote best practices and enhance the work life at member institutions.

SECTION 2: MEMBERSHIP, REPRESENTATION AND ELIGIBILITY

MEMBERSHIP
The staff councils at CIC member universities* that sent representatives to the 2004 annual CIC APSC meeting constitute the founding members of the CIC APSC. The staff council of any member of the CIC twelve university consortium will become a member of the organization by taking both of the following actions: 1) requesting membership in writing to the current chair; 2) sending at least one representative to the annual face-to-face meeting or participating in two teleconferences within 12 consecutive months.

REPRESENTATION AND ELIGIBILITY
A maximum of four people from each member council may attend the annual CIC APSC face-to-face meeting, but two must be designated as the voting representatives. The names of each council's voting representatives will be submitted to the current chair of the CIC APSC at least once a year and no later than one month before the annual face-to-face meeting. At least one representative from each member council is encouraged to participate in teleconferences. Any number of representatives from each council may listen to teleconference meetings, but each council will designate a maximum of two representatives to speak for their staff council during any given teleconference.

Each council will select their representatives for the CIC APSC in a manner of their own choosing. The CIC APSC encourages selection of members who have had experience with their council and preferably served in an elected position, especially current or former members of each council's executive committee, council chairs and vice chairs, chairs of standing committees or executive directors.

TERMS
Terms should be two years and staggered, so that the terms of the two voting representatives from each council end in alternate years. No term limit for representatives is mandated by the CIC APSC.

LIAISONS
Each member council will designate one of its representatives to serve as its liaison to the CIC APSC, to be responsible for exchanging e-mails and other necessary information between the two organizations.


SECTION 3: CIC APSC STRUCTURE
OFFICERS' TERMS AND DUTIES
Meetings will be chaired by a representative from the host council of the current calendar year. The chair will preside at the annual face-to-face meeting and teleconferences conducted during that calendar year and make the arrangements for the meetings. An executive committee will assist the chair with his/her duties. This executive committee will consist of 1) the current year's chair 2) a representative from the host council of the previous year (preferably the former chair) 3) a representative from the host of the following year and 4) a communications liaison, who will keep the CIC APSC website and e-mail listserv current by supplying necessary information to the CIC. 5) The chair will designate a person from their institution to take minutes at all meetings throughout the year of the chair's term. This person will serve as the fifth member of the executive committee. The members of this committee will be confirmed at the annual face-to-face meeting.


COMMITTEES
The CIC APSC shall have the power to create and dissolve committees as necessary.

SECTION 4: MEETINGS AND QUORUM
At least one face-to-face meeting and two teleconferences will be held each calendar year. Dates will be recommended by the Executive Committee and approved by a majority vote of the representatives at either a meeting or by e-mail. Attendance at any meeting by at least one representative from a majority of the member councils will constitute a quorum.

SECTION 5: DECISION-MAKING

CONSENSUS AND VOTING
Most decisions will be made by consensus. A formal vote will be taken if two or more eligible voting members request it. Each council will have two votes on any question. Formal votes are required for adoption and amendment of the guidelines and for public recommendations. If only one representative from a member council attends a meeting, the single representative may cast both votes for the institution, providing that option is announced at the beginning of the meeting and the roll of voting representatives is so amended.

SECTION 6: ADOPTION AND AMENDMENT OF GUIDELINES
Approval by two thirds of all eligible voting representatives of the CIC APSC is required for adoption of these guidelines. The vote may be conducted in person, during a teleconference or by e-mail. Amendments may be approved by two thirds of the eligible voting representatives at a given meeting (in person or teleconference), provided that a quorum is present.
